PLEASE READ THESE TERMS OF SERVICE (“TERMS”) CAREFULLY BEFORE USING THE CITYFIND SERVICES. THESE TERMS CONTAIN A MANDATORY ARBITRATION PROVISION AND CLASS ACTION WAIVER IN SECTION 14, WHICH AFFECT YOUR LEGAL RIGHTS.
1. Agreement to Terms
These Terms of Service (“Terms”) are a binding agreement between you (“you” or “User”) and CityFind (“CityFind,” “we,” “us,” or “our”), the developer and operator of the CityFind website (the “Website”) and the CityFind mobile application (the “App”) (collectively, the “Services”). By downloading, installing, accessing, or using the Services, you agree to be bound by these Terms and by our Privacy Policy, which is incorporated into these Terms by reference. If you do not agree to these Terms, do not access or use the Services.
You must be at least 13 years old to use the Services. If you are under the age of majority in your jurisdiction, you may only use the Services with the involvement and consent of a parent or legal guardian who agrees to be bound by these Terms on your behalf.
2. Description of Service
CityFind is a local discovery service that allows users to browse, search, and save information about local markets, cafes, pop-up events, food trucks, and similar listings (“Listings”). Listings may be sourced from third parties, public information, or user submissions, and are provided for general informational purposes only.
CityFind may offer optional account creation (via email-based “magic link” authentication) to enable features such as saving Listings to a persistent, account-linked list. Core browsing and search functionality is available without creating an account.
3. Accounts
3.1 Registration. To access certain features, you may create an account using your email address. You are responsible for maintaining the confidentiality of any authentication method associated with your account and for all activity that occurs under your account.
3.2 Accuracy. You agree to provide accurate and current information when creating an account and to promptly update such information as needed.
3.3 Account Deletion. You may delete your account and associated data at any time through the account deletion feature in the App or by contacting us. Upon deletion, we will remove or anonymize your account data in accordance with our Privacy Policy, except where retention is required by law or for legitimate business purposes such as fraud prevention and legal compliance.
3.4 Termination by CityFind. We reserve the right to suspend or terminate your account at our sole discretion, without notice, if we believe you have violated these Terms, engaged in fraudulent or unlawful activity, or for any other reason we deem necessary to protect the Services, our users, or third parties.
4. Acceptable Use
You agree that you will not:
- use the Services for any unlawful purpose or in violation of any applicable local, state, national, or international law or regulation;
- attempt to gain unauthorized access to the Services, other users' accounts, or any systems or networks connected to the Services, including by circumventing authentication or security measures;
- reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Website or App, except to the extent such restriction is prohibited by applicable law;
- use any automated system, including bots, scrapers, or spiders, to access the Services or extract data from them without our prior written consent;
- interfere with or disrupt the operation of the Services or the servers or networks used to make them available, including through the introduction of viruses, malware, or other harmful code;
- impersonate any person or entity, or misrepresent your affiliation with any person or entity;
- use the Services to harass, abuse, defame, or harm another person, or to collect or store personal data about other users without their consent;
- copy, modify, distribute, sell, lease, or create derivative works based on the Services or their content, except as expressly permitted by these Terms; or
- use the Services in any manner that could disable, overburden, damage, or impair the Website or App or interfere with any other party's use of the Services.
We reserve the right to investigate and take appropriate legal action, including suspension or termination of your account and referral to law enforcement, against anyone who violates this section.
5. Location Services
The Services may request access to your device's or browser's location in order to show you Listings near your current location and to sort or filter search results by distance. Location access is optional; you may decline or later revoke location permissions through your device or browser settings, though certain features (such as distance-based sorting) may not function without it. Distance calculations are performed on your device and location coordinates are not stored on CityFind servers, except as described in our Privacy Policy.
6. User Content
If the Services permit you to submit reviews, ratings, photos, comments, or other content (“User Content”), you retain ownership of your User Content, but you grant CityFind a worldwide, non-exclusive, royalty-free, sublicensable, transferable license to use, host, store, reproduce, modify, publish, and display such User Content in connection with operating, promoting, and improving the Services. You represent and warrant that you own or have the necessary rights to submit your User Content and that it does not infringe or violate the rights of any third party or any applicable law. We reserve the right, but have no obligation, to monitor, remove, or refuse to display any User Content at our sole discretion.
7. Third-Party Listings and Content Disclaimer
LISTINGS DISPLAYED IN THE SERVICES, INCLUDING BUSINESS NAMES, HOURS, LOCATIONS, DESCRIPTIONS, AND IMAGES, ARE PROVIDED BY THIRD PARTIES OR AGGREGATED FROM PUBLICLY AVAILABLE SOURCES. CITYFIND DOES NOT VERIFY, ENDORSE, OR GUARANTEE THE ACCURACY, COMPLETENESS, TIMELINESS, OR RELIABILITY OF ANY LISTING.
Hours, availability, pricing, and locations are subject to change without notice, and businesses or events referenced in Listings may cease operating, relocate, or cancel at any time. You are solely responsible for verifying any information before relying on it, including before traveling to a physical location. CityFind is not responsible for any loss, inconvenience, or damage arising from your reliance on Listing information, or from your interactions with any third-party business, vendor, or event organizer referenced in the Services.
8. Intellectual Property
The Services, including their software, design, graphics, logos, icons, text, and other content created by CityFind (excluding User Content and third-party Listing data), is the property of CityFind and is protected by copyright, trademark, and other intellectual property laws. Subject to your compliance with these Terms, CityFind grants you a limited, non-exclusive, non-transferable, revocable license to access the Website and use the App on a personal device you own or control, solely for your personal, non-commercial use. All rights not expressly granted are reserved by CityFind.
9. Third-Party Services
The Services rely on third-party service providers, including but not limited to Supabase for backend data storage and authentication, to operate. Your use of the Services may be subject to the terms and privacy practices of these providers to the extent they process your data on our behalf, as described in our Privacy Policy. We are not responsible for the acts, omissions, availability, or content of third-party services.
10. Disclaimer of Warranties
THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. CITYFIND DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF HARMFUL COMPONENTS, OR THAT ANY DEFECTS WILL BE CORRECTED. YOU USE THE SERVICES AT YOUR OWN RISK. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF IMPLIED WARRANTIES, SO SOME OF THE ABOVE EXCLUSIONS MAY NOT APPLY TO YOU.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL CITYFIND, ITS OWNERS, OFFICERS, EMPLOYEES, CONTRACTORS, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OF, OR INABILITY TO USE, THE SERVICES, EVEN IF CITYFIND HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, CITYFIND'S TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO CITYFIND, IF ANY, IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) FIFTY U.S. DOLLARS ($50.00).
12. Indemnification
You agree to defend, indemnify, and hold harmless CityFind and its owners, officers, employees, contractors, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with: (a) your access to or use of the Services; (b) your violation of these Terms; (c) your violation of any third-party right, including intellectual property or privacy rights; or (d) any User Content you submit.
13. Modification and Termination of the Services
We reserve the right to modify, suspend, or discontinue the Services, or any part of them, at any time, with or without notice, and without liability to you. We also reserve the right to modify these Terms at any time by posting the revised Terms within the App or on the Website. Material changes will be indicated by updating the “Last Updated” date above, and, where required by law, we will provide additional notice. Your continued use of the Services after any such changes constitutes your acceptance of the revised Terms. If you do not agree to the revised Terms, you must stop using the Services.
14. Dispute Resolution: Binding Arbitration and Class Action Waiver
PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT AND TO HAVE A JURY TRIAL.
14.1 Agreement to Arbitrate. You and CityFind agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Services (a “Dispute”) shall be resolved exclusively through final and binding individual arbitration, rather than in court, except that either party may bring an individual action in small claims court, or seek injunctive or other equitable relief in a court of competent jurisdiction to prevent actual or threatened infringement, misappropriation, or violation of a party's intellectual property or confidentiality rights.
14.2 Arbitration Procedure. Arbitration shall be administered by the American Arbitration Association (“AAA”) under its Consumer Arbitration Rules then in effect. The arbitration shall be conducted in the State of Delaware, or, at your election, may be conducted remotely by telephone or videoconference. The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.
14.3 Class Action and Jury Trial Waiver. YOU AND CITYFIND AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING. YOU AND CITYFIND FURTHER AGREE TO WAIVE ANY RIGHT TO A JURY TRIAL. The arbitrator may not consolidate more than one person's claims and may not otherwise preside over any form of a representative or class proceeding.
14.4 Opt-Out. You may opt out of this arbitration agreement within thirty (30) days of first accepting these Terms by sending written notice to the contact email below, stating your name and a clear statement that you wish to opt out of the arbitration provision. If you opt out, all other parts of these Terms will continue to apply.
14.5 Severability of Arbitration Provision. If the class action waiver in this section is found to be unenforceable as to a particular claim or request for relief, then that claim or request for relief (and only that claim or request for relief) shall be severed and may proceed in court, and the remainder of this arbitration provision shall remain in full force.
15. Governing Law and Venue
These Terms and any Dispute not subject to arbitration under Section 14 shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law principles. Subject to Section 14, you agree that any legal action not subject to arbitration shall be brought exclusively in the state or federal courts located in Delaware, and you consent to the personal jurisdiction of such courts.
16. Export Compliance
You may not use or export the Services in violation of U.S. export laws and regulations. You represent that you are not located in a country subject to a U.S. government embargo or designated as a “terrorist supporting” country, and that you are not listed on any U.S. government list of prohibited or restricted parties.
17. Severability
If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect.
18. Entire Agreement; Waiver
These Terms, together with our Privacy Policy, constitute the entire agreement between you and CityFind regarding the Services and supersede all prior agreements and understandings. No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term.
19. Assignment
You may not assign or transfer these Terms, by operation of law or otherwise, without CityFind's prior written consent. CityFind may assign these Terms without restriction, including in connection with a merger, acquisition, sale of assets, or by operation of law.
